为出具本法律意见书，本所律师特作如下郑重声明：

In the provision of the legal opinion, we hereby declare that:

一、本法律意见书系依据本法律意见书出具日以前已经发生或存在的事实，根据可适用的中国法律、行政法规和规范性文件而出具；

1.      The Legal Opinion is proposed in line with the facts occurred or existing before the issuing date of this opinion in accordance with the applicable laws, administrative rules and regulations, and other statutory documents in China.

二、本所及本所律师对本法律意见书所涉及的有关事实的了解，最终依赖于贵公司向本所及本所律师提供的文件、资料及所作陈述，且公司已向本所及本所律师保证了其真实性、完整性和准确性，且不包含任何误导性的信息，以及无任何直接或间接故意导致的隐瞒、疏漏之处。

2.      The Legal Opinion is prepared by the Firm according to the facts reasonably educed from the documents, data and statements which are provided by the Company with sufficient guarantee and warrant on their authenticity, completeness and accuracy without any disguise and omission in any form that are led by direct or indirect intents.

三、本法律意见书仅对题述事项发表法律意见；

3.      Only the legal advice concerning the captioned matter is included in the Legal Opinion.

四、本所及本所律师确信本法律意见书不存在虚假记载、误导性陈述及重大遗漏；

4.      It is assured that no false records, misled statement or significant oversight exists in the Legal Opinion.

五、本法律意见书所引述或引证的事实部分均由贵公司提供，公司已确认本法律意见书所引述或引证的事实部分，均为真实、准确与完整的，没有任何虚假或误导性陈述或结论。

5.      All the facts referred to or quoted in the Legal Opinion are provided by the Company and the Company has confirmed the authenticity, accuracy and completeness of all the facts referred to or quoted in the Legal Opinion without any false or misled statements or conclusions in any form.

六、本法律意见书仅供***为实施与部份员工解除劳动合同之目的，以便公司维护自身权益之参考使用，非经本所及本所律师书面同意，不得用作任何其他目的。

6.      The Legal Opinion is prepared only for *** reference in the termination of labor contract between the Company and its employees so as to safeguard the rights and interests of the parties concerned. No other purposes are allowed without the written consent of the Firm and the lawyers.
